1. INTRODUCTION
Welcome to Boxy ("Boxy," "Company," "we," "our," or "us"), a mobile application owned and
operated by JIREH CROWN LLC.
These Terms of Service ("Terms") govern your access to and use of the Boxy application,
related services, websites, software, premium features, and any associated content provided by
JIREH CROWN LLC (collectively, the "Services").
These Terms form a legally binding agreement between you and JIREH CROWN LLC.
By downloading, installing, accessing, creating an account, or using Boxy, you agree to be
bound by these Terms and by our Privacy Policy.
If you do not agree to these Terms, you must not use the Services.
2. DEFINITIONS
For purposes of these Terms:
● Account means the registered user account used to access Boxy.
● Content means all text, graphics, software, images, logos, designs, databases,
documentation, and other materials made available through Boxy.
● Inventory Information means any information, photographs, QR codes, notes,
categories, or other content created or uploaded by a user.
● Premium Services means subscription-based features available through Boxy.
● Services means the Boxy application, backend services, websites, support, and related
offerings provided by JIREH CROWN LLC.
● User Content means Inventory Information and any other content submitted by users.
3. ACCEPTANCE OF THESE TERMS
By using Boxy, you acknowledge and agree that:
● You have read and understood these Terms.
● You agree to comply with these Terms and all applicable laws.
● You consent to electronic communications relating to your use of the Services.
● You are legally capable of entering into a binding agreement.
If you use Boxy on behalf of a business or other legal entity, you represent that you have
authority to bind that entity to these Terms.
4. ELIGIBILITY
Boxy is intended only for individuals who are 18 years of age or older.
By creating an account or using Boxy, you represent and warrant that:
● You are at least 18 years old.
● You have the legal capacity to enter into these Terms.
● The information you provide is accurate and complete.
● You will keep your account information current.
● You will comply with these Terms.
We reserve the right to suspend or terminate accounts if we reasonably believe these eligibility
requirements are not met.
5. LICENSE TO USE BOXY
Subject to these Terms, JIREH CROWN LLC grants you a limited, personal, non-exclusive,
non-transferable, non-sublicensable, and revocable license to download, install, and use Boxy
solely for your personal, lawful, and non-commercial use.
This license does not transfer ownership of the application or any intellectual property rights.
Except as expressly permitted by applicable law, you may not:
● Copy, reproduce, or distribute Boxy.
● Modify, adapt, translate, or create derivative works.
● Reverse engineer, decompile, or disassemble the application.
● Remove or alter proprietary notices.
● Use Boxy in violation of law or these Terms.
6. USER ACCOUNTS
To access certain features, you may create an account using:
● Email and password
● Google
● Apple
● Facebook
● Microsoft
You are responsible for:
● Maintaining the confidentiality of your account credentials.
● Restricting access to your devices.
● Promptly notifying us of suspected unauthorized account activity.
● All activities occurring under your account, except where prohibited by law.
You agree not to impersonate another person or create an account using false or misleading
information.
7. ACCEPTABLE USE
You agree to use Boxy only for lawful purposes.
You must not:
● Use Boxy to violate any law or regulation.
● Upload malicious software or code.
● Attempt to gain unauthorized access to Boxy or related systems.
● Interfere with the operation or security of the Services.
● Circumvent security measures.
● Harvest or scrape data from the Services.
● Use automated systems to overload or disrupt the Services.
● Infringe the intellectual property rights of others.
● Use Boxy in a manner that could harm other users or the Company.
Violation of this section may result in suspension or termination of your account.
8. INTELLECTUAL PROPERTY
Boxy, including its software, source code, databases, trademarks, logos, designs, graphics, user
interface, documentation, and other proprietary materials, is owned by or licensed to JIREH
CROWN LLC and is protected by applicable intellectual property laws.
Except for the limited license granted in these Terms, no ownership or intellectual property rights
are transferred to you.
You retain ownership of the Inventory Information and other User Content you create. By using
Boxy, you grant JIREH CROWN LLC a limited, worldwide, non-exclusive license to host,
process, synchronize, display, and otherwise use your User Content solely as necessary to
operate, maintain, secure, and improve the Services.
Unauthorized use of Boxy's intellectual property is prohibited and may result in legal action.
9. PREMIUM SUBSCRIPTIONS
Boxy offers optional premium features through a recurring subscription ("Boxy Premium").
Premium subscriptions provide access to enhanced functionality that is identified within the
application at the time of purchase.
The features included with Boxy Premium may change over time as the Services evolve.
JIREH CROWN LLC reserves the right to add, remove, modify, or improve Premium features
without guaranteeing that any particular feature will remain available indefinitely.
Nothing in these Terms guarantees lifetime access to any specific Premium feature.
10. BILLING AND PAYMENT
Subscriptions are purchased through the Apple App Store or Google Play Store.
All billing, payment processing, taxes, renewals, and transaction management are handled by
the applicable marketplace.
JIREH CROWN LLC does not receive or store your payment card information.
By purchasing a subscription, you authorize the applicable marketplace to charge your selected
payment method according to its terms and conditions.
Subscription prices displayed within the marketplace are exclusive of taxes unless otherwise
stated.
Applicable taxes may be added by the marketplace as required by law.
Automatic Renewal
Unless canceled before the end of the current billing period, subscriptions automatically renew
for successive billing periods.
Renewal charges are processed by the marketplace using your selected payment method.
You are responsible for maintaining valid payment information with the applicable marketplace.
Subscription Cancellation
Subscriptions may be canceled at any time through:
● Apple App Store subscription settings
● Google Play subscription settings
Cancellation prevents future renewal charges but does not typically generate a refund for the
current billing period unless permitted by the applicable marketplace.
Deleting the Boxy application does not cancel your subscription.
Price Changes
JIREH CROWN LLC reserves the right to change subscription pricing, introduce new
subscription plans, or discontinue existing plans.
Where required, notice of pricing changes will be provided through the applicable marketplace
or within the Services.
Future pricing changes apply prospectively and do not retroactively alter amounts already paid.
11. USER CONTENT
Boxy allows users to create, upload, organize, and manage Inventory Information.
You retain ownership of your User Content.
You are solely responsible for:
● The accuracy of your User Content.
● Maintaining lawful possession of your User Content.
● Ensuring that your User Content does not violate applicable laws or the rights of others.
By submitting User Content to Boxy, you grant JIREH CROWN LLC a limited, worldwide,
non-exclusive, royalty-free license to host, process, synchronize, transmit, display, and
otherwise use your User Content solely as necessary to provide, maintain, secure, improve, and
support the Services.
This license automatically terminates when your User Content is permanently deleted from the
Services, except to the extent retention is required by law or reasonably necessary for security,
backup, dispute resolution, or enforcement of these Terms.
12. SERVICE AVAILABILITY
We strive to provide reliable access to Boxy; however, uninterrupted availability cannot be
guaranteed.
The Services may be temporarily unavailable due to:
● Scheduled maintenance
● Emergency maintenance
● Software updates
● Hardware failures
● Network interruptions
● Internet service disruptions
● Security incidents
● Circumstances beyond our reasonable control
JIREH CROWN LLC may modify, suspend, discontinue, or replace any portion of the Services
at any time without liability, subject to applicable law.
We are not responsible for delays or interruptions caused by third-party providers, internet
service providers, mobile operating systems, authentication providers, or app marketplaces.
13. THIRD-PARTY SERVICES
Boxy integrates with independent third-party providers that support the operation of the
Services.
These providers may include:
● Base44
● Google
● Apple
● Microsoft
● Meta (Facebook)
● Apple App Store
● Google Play
These third-party providers operate independently from JIREH CROWN LLC.
Your use of their products or services is governed by their own terms, privacy policies, and legal
agreements.
JIREH CROWN LLC is not responsible for the availability, content, policies, security, or practices
of independent third-party providers.
14. APPLICATION UPDATES
JIREH CROWN LLC may release updates, bug fixes, patches, security improvements, and new
features from time to time.
Updates may be installed automatically where permitted by your device settings or applicable
marketplace.
Certain updates may be required for continued compatibility or security.
Failure to install critical updates may result in reduced functionality or inability to access portions
of the Services.
We reserve the right to discontinue support for outdated application versions.
15. SUSPENSION AND TERMINATION
JIREH CROWN LLC reserves the right to suspend, restrict, or terminate access to Boxy if we
reasonably believe that:
● These Terms have been violated.
● Fraudulent or unlawful activity has occurred.
● Security has been compromised.
● Required payments have not been received.
● Continued access presents a risk to the Services or other users.
● We are required to do so by law.
Termination may occur with or without prior notice where permitted by applicable law.
Upon termination:
● Your license to use Boxy immediately ends.
● Access to Premium Services may cease.
● We may delete or deactivate your account in accordance with our Privacy Policy and
applicable law.
Termination does not affect rights or obligations that accrued before termination.
16. DISCLAIMERS OF WARRANTIES
To the fullest extent permitted by applicable law, Boxy and all related Services are provided on
an "AS IS" and "AS AVAILABLE" basis.
JIREH CROWN LLC expressly disclaims all warranties, whether express, implied, statutory, or
otherwise, including, without limitation:
● Merchantability
● Fitness for a particular purpose
● Non-infringement
● Accuracy
● Reliability
● Availability
● Continuous operation
● Error-free performance
● Freedom from viruses or malicious code
We do not warrant that:
● Boxy will meet every user's expectations.
● The Services will always be uninterrupted.
● Every defect will be corrected.
● Inventory Information will never be lost or corrupted.
● Synchronization will always occur immediately or without interruption.
● Third-party services will remain continuously available.
Users assume all risks associated with the use of the Services.
Nothing in these Terms excludes or limits warranties that cannot be excluded under applicable
law.
17. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, JIREH CROWN LLC, its owners, officers,
directors, employees, contractors, affiliates, licensors, and service providers shall not be liable
for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of
or relating to your use of, or inability to use, the Services.
This limitation includes, without limitation, damages relating to:
● Loss of data
● Loss of inventory records
● Loss of photographs
● Lost profits
● Lost business opportunities
● Business interruption
● Device failures
● Corrupted files
● Delayed synchronization
● Third-party service outages
● Unauthorized account access not caused by our failure to exercise commercially
reasonable care
To the extent permitted by law, our total aggregate liability arising from or relating to the
Services shall not exceed the greater of:
● The total amount you paid to JIREH CROWN LLC for Boxy Premium during the twelve
(12) months immediately preceding the event giving rise to the claim; or
● One hundred U.S. dollars (US $100.00).
Some jurisdictions do not allow certain liability limitations. In those jurisdictions, this section
applies only to the maximum extent permitted by law.
18. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless JIREH CROWN LLC, its affiliates, officers,
directors, employees, contractors, licensors, and service providers from and against any claims,
demands, liabilities, damages, judgments, settlements, losses, costs, and reasonable attorneys'
fees arising from or relating to:
● Your use of Boxy.
● Your User Content.
● Your violation of these Terms.
● Your violation of applicable law.
● Your infringement of another person's intellectual property or other legal rights.
● Your negligent or wrongful conduct.
This obligation survives termination of your account to the extent permitted by applicable law.
19. GOVERNING LAW
These Terms are governed by the laws of the State of Oklahoma, United States, without regard
to its conflict-of-law rules.
Nothing in these Terms limits any consumer protection rights that cannot be waived under the
laws applicable to your place of residence.
20. DISPUTE RESOLUTION
If a dispute arises relating to Boxy or these Terms, both parties agree to first attempt to resolve
the dispute through good-faith discussions.
You agree to contact JIREH CROWN LLC and provide a reasonable opportunity to investigate
and attempt to resolve the matter before initiating legal proceedings, unless prohibited by
applicable law.
If a dispute cannot be resolved informally, either party may pursue remedies available under
applicable law in a court of competent jurisdiction.
Nothing in this section prevents either party from seeking emergency injunctive or equitable
relief where appropriate.
21. FORCE MAJEURE
JIREH CROWN LLC shall not be liable for any delay or failure to perform resulting from events
beyond its reasonable control, including but not limited to:
● Natural disasters
● Fire
● Flood
● Earthquake
● Severe weather
● War
● Terrorism
● Civil unrest
● Government actions
● Labor disputes
● Power outages
● Internet disruptions
● Cybersecurity incidents
● Failure of telecommunications providers
● Failure of cloud infrastructure providers
● Epidemics or pandemics
● Other events beyond our reasonable control
Our obligations will be suspended only for the duration of the applicable force majeure event.
22. ASSIGNMENT
You may not assign or transfer your rights or obligations under these Terms without our prior
written consent.
JIREH CROWN LLC may assign or transfer these Terms in connection with:
● A merger
● Acquisition
● Sale of assets
● Corporate restructuring
● Financing transaction
● Successor ownership
These Terms remain binding upon permitted successors and assigns.
23. SEVERABILITY
If any provision of these Terms is determined by a court of competent jurisdiction to be unlawful,
invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by
applicable law.
The remaining provisions shall continue in full force and effect.
24. ENTIRE AGREEMENT
These Terms, together with the Boxy Privacy Policy, Subscription Terms, Refund Policy, and any
additional legal notices expressly incorporated by reference, constitute the entire agreement
between you and JIREH CROWN LLC regarding your use of the Services.
These documents supersede all prior or contemporaneous agreements, communications,
understandings, or representations relating to the Services, except where otherwise required by
applicable law.
No oral statement or informal communication shall modify these Terms unless expressly
confirmed in writing by JIREH CROWN LLC.
